Setting Key Performance Indicators (KPIs) and performance clauses are critical for ensuring that both parties in a contract understand and deliver their respective obligations.

Effective KPIs serve as measurable benchmarks to track success, while performance clauses provide the legal framework to enforce these standards and incentivise the desired outcomes.

To make those KPIs and clauses work commercially, organisations need to focus on two things:

• Meaningful Metrics: Avoid "vanity metrics." Only track things that directly impact your organisation objectives.
• The Review Cycle: KPIs shouldn't be static. Including a clause for regular performance reviews allows you to adjust targets if the project scope or market conditions change.
